Host Store means either Mitsukoshi or one of Mitsukoshi's Affiliates or a branch thereof that is directly responsible for the operation of the store wherein a Boutique is located.

Host Store means any Person which operates retail stores at which any Loan Party operates retail shoe departments as so-called “licensed departments”. “Host Store Acknowledgement” means any agreement substantially in the form of Exhibit J hereto and otherwise reasonably satisfactory to the Agents which is executed and delivered by a Host Store and includes reasonable safeguards and protections concerning the interests of the Agents and the Lenders in the assets and operations of the Loan Party operating in such Host Store, including without limitation(i) the requirement that payments made by such Host Store or its Affiliates to any Loan Party be made by ACH or wire transfer to a Blocked Account or by check to a lockbox and lockbox account covered by a Blocked Account Agreement, (ii) that the Loan Parties at all times hold all right, title and interest to Inventory, and (iii) that proceeds thereof be segregated and held in trust for the Loan Parties. “Host Store Eligible Inventory” means Eligible Inventory which is footwear held for sale in the ordinary course of business by the Loan Parties in Host Stores or through related other selling channels at retail. “Indebtedness” of any Person means, without duplication, (a) all obligations of such Person for borrowed money or with respect to deposits or advances of any kind, (b) all obligations of such Person evidenced by bonds, debentures, notes or similar instruments, (c) all obligations of such Person upon which interest charges are customarily paid, (d) all obligations of such Person under conditional sale or other title retention agreements relating to property acquired by such Person, (e) all obligations of such Person in respect of the deferred purchase price of property or services (excluding current accounts payable incurred in the ordinary course of business), (f) all Indebtedness of others secured by (or for which the holder of such Indebtedness has an existing right, contingent or otherwise, to be secured by) any Lien on property owned or acquired by such Person, whether or not the Indebtedness secured thereby has been assumed, (g) all Guarantees by such Person of Indebtedness of others (including, without limitation, under any Synthetic Leases), (h) all Capital Lease Obligations of such Person, (i) all obligations, contingent or otherwise, of such Person as an account party in respect of letters of credit and letters of guaranty (j) all obligations, contingent or otherwise, of such Person in respect of bankers’...

• In the event a casualty loss or other such event beyond its control renders it impossible or reasonably unlikely that Mitsukoshi or any Host Store will be able to operate one or more of the Boutiques for a period in excess of three (3) months, Tiffany-Japan shall have the right to effect a partial termination of this Agreement in respect of the affected Boutique(s) only and this Agreement shall continue in full force and effect with respect to the unaffected Boutiques.

• At each AAI Host Store, AAI will be solely responsible for leasing and occupancy costs (such as rent, utilities and insurance) and state and- local building code compliance; and Sephora will be responsible for costs associated with Sephora's operations within the Sephora Alliance Store including, without limitation, employee payroll, taxes, inventory costs, construction costs and all in store merchandising costs (the "Sephora Alliance Store Costs").

• Sephora and AAI may mutually agree on the development and location of additional Sephora Alliance Stores beyond the two (2) Sephora Alliance Stores contemplated by this Section 9.1. Although the placement of the Sephora Alliance Store within the AAI Host Store will be determined by AAI, the appearance and design of each Sephora Alliance Store will be within the sole direction and control of Sephora.
