Hospital Entity definition

Hospital Entity means any Person (other than a Borrower) in which Holdings directly or indirectly owns an Equity Interest and that is engaged in the business of owning and/or operating a licensed hospital, ambulatory surgery center, or other health care facility that provides inpatient and/or outpatient health care services to patients, specifically including but not limited to USMD Hospital at Arlington, L.P. and USMD Hospital at Fort Worth, L.P.
Hospital Entity or "Hospital Entities" means Jewish Health System, Inc. and Fort ▇▇▇▇▇▇▇▇ Hospital Holding Company.
Hospital Entity means a Hospital Entity that shall provide Hospital Services to Enrollees pursuant to the terms and conditions of this Agreement and that are licensed as hospitals under applicable New York law and accredited by the Joint Commission on Accreditation of Health Care Organizations ("JCAHO").

Examples of Hospital Entity in a sentence

  • No Loan Party shall, and Borrower shall not permit any Controlled Hospital Entity to, create, incur, or permit to exist any Indebtedness, other than Permitted Indebtedness.

  • Each Loan Party shall, and Borrower shall cause each Controlled Hospital Entity to, do or cause to be done all things necessary to preserve, renew, and keep in full force and effect its existence and comply with the provisions of its organizational documents.

  • Nonpayment of any such fee or expense by a Hospital Entity shall not excuse payment by Borrower.

  • Each Hospital Entity has entered into and maintains in good standing its Provider Agreements.

  • No Borrower Entity or, to the knowledge of any Loan party, no Non-Controlled Hospital Entity, has any material liabilities, fixed or contingent, that are not reflected in the financial statements delivered to Agent or that have not otherwise been disclosed in writing to Agent.

  • There are no Medicare or Medicaid termination proceedings underway with respect to any of the Hospital Entities, and no employee or independent contractor of any Hospital Entity has been excluded from participating in Medicare or Medicaid.

  • Except as set forth on Schedule 7.11, no present, or to the knowledge of the Loan Parties, past operations or properties of any Borrower Entity, or to the knowledge of any Loan Party, any Non-Controlled Hospital Entity, is subject to any federal, state or local investigation to determine whether any remedial action is needed to address any environmental pollution, hazardous material or environmental clean-up.

  • No action of the part of the board of directors or members, if any, of any Hospital or Hospital Entity is necessary to authorize the execution and delivery of this Agreement and each Ancillary Agreement by Seller on behalf of each Hospital and Hospital Entity, the performance of the obligations of such Hospital or Hospital Entity hereunder or thereunder or the consummation of the transactions contemplated hereby and thereby.

  • No Borrower Entity and, to the knowledge of any Loan Party, no Non-Controlled Hospital Entity is party to or bound by any collective bargaining agreement, management agreement or consulting agreement other than the Management Agreements.

  • No Loan Party shall, and Borrower shall not permit any Controlled Hospital Entity to, create, assume or permit to exist any mortgage, pledge, security interest, encumbrance, lien, charge or deposit arrangement, or any other arrangement having the practical effect of the foregoing on any of its assets, except for Permitted Liens.
