HOLDING Documents has the meaning set forth in Section 6.9.
HOLDING Documents means the Guaranty, the Third Party Security Agreement, and all financing statements executed by Holding in favor of any of the Lenders.

Except as set forth on Schedule 6.9, none of the HOLDING Documents requires notice to, or the consent or approval of, any governmental agency or other third party with respect to any of the transactions contemplated hereby in order to remain in full force and effect, and the consummation of the transactions contemplated hereby will not give rise to any right to termination, cancellation or acceleration or loss of any right or benefit of HOLDING or NEWCO.
