In furtherance of the foregoing, all consents, licenses, permits, waivers, approvals, authorizations, orders or ordinances of Canal Street Development Corporation, the City Council, Mayor of the City of New Orleans and any other third parties or any Governmental Authority shall have been obtained with respect to the revisions of the HNO Ground Lease necessary to effect the transactions respecting the Property contemplated by this Agreement.
The HNO City Lease Estoppel shall have been executed and delivered by the City of New Orleans.
An amendment to the HNO Operating Contract that addresses, to the reasonable satisfaction of Buyer, the terms and conditions more particularly described on Schedule 6.4(d) (the “HNO Operating Contract Amendment” and together with the HNO Ground Lease Amendment, collectively, the “HNO Property Documents Amendments”), shall have been executed and delivered by the State of Louisiana by and through the Louisiana Gaming Control Board and JCC.
To Eldorado’s Knowledge, Eldorado has furnished or made available to Buyer true, correct and complete copies of the HNO Ground Lease, and the HNO Operating Contract and, to the Knowledge of Eldorado, the HNO City Lease and any other instrument set forth on Schedule 7.2(p), all of which are, to Eldorado’s Knowledge with respect to JCC, and the Knowledge of Eldorado with respect to any other party, in full force and effect.
The HNO City Lease and the HNO Ground Lease shall each be in full force and effect and shall each not have been amended, extended, renewed, supplemented, replaced or otherwise modified, or terminated or cancelled, except solely as and to the extent provided in the HNO Property Documents Amendments.
There shall be no event of default or material default under any of the (i) HNO City Lease, (ii) HNO Ground Lease, (iii) HNO Operating Contract or (iv) any other document or instrument entered into with NOBC, the City of New Orleans or the State of Louisiana by and through the Louisiana Gaming Control Board after the Effective Date in respect of the HNO License Extension Improvements, in each case with respect to clause (iv) that would result in a Material Adverse Effect.
Effective July 1, 2015 the parties agree to increase the individual and family deductibles for the $10 HNO (PPO) plan to the plan levels indicated: AETNA $10 HNO Option Effective 07/01/2015 Effective 07/01/2015 In-Network Out-of-Network Individual Deductible $100 $ 500 Family Deductible $200 $1,000 L.
Because Non-CPLV Lease Landlord, as landlord, and Seller HNO Tenant, as one of the entities comprising Non-CPLV Lease Tenant, as tenant, will enter into the Non-CPLV Lease Amendment on the Closing Date, as between Eldorado and Buyer there will be no adjustment or proration of income or expenses relating to the Property.
Buyer shall have no obligation to pay for any costs or expenses relating to the HNO Property Documents Amendments, or to perform or pay for any work relating to the HNO License Extension Improvements, or incur any other cost or expense with respect to the matters described in Sections 8.1(b)(vii) and (viii) hereof that is required to be made to the City of New Orleans, the State of Louisiana or any other Governmental Authority or Person, either prior to or after the Closing Date.
The HNO Ground Lease Estoppel shall have been executed and delivered by NOBC.
