In connection with the creation of the forgoing subsidiaries, each of HMHM and HBS CO entered into a Subsidiary Joinder Agreement, dated as of November 15, 2000, joining into the Loan Agreement, the Guaranty Agreement and the Security Agreement as a guarantor and debtor thereunder.
