HL Fees definition

HL Fees means the fees and expenses of Xxxxxxxx Xxxxx Xxxxxx & Xxxxx, Inc. pursuant to the engagement letter between Xxxxxxxx Xxxxx Xxxxxx & Xxxxx, Inc. and Foamex International, Inc., dated January 1, 2009, including the Monthly Fee and the M&A Transaction Fee (each as defined in such agreement), but solely to the extent that such fees and expenses become allowed administrative expense claims of Sellers' estates pursuant to Section 503(b) of the Bankruptcy Code.

Examples of HL Fees in a sentence

  • Purchaser agrees that it shall not, and Purchaser shall cause its Affiliates not to, directly or indirectly, object to the allowance or payment of any HL Fees or Seller Professional Fees.

  • On the Closing Date, Purchaser shall pay an amount equal to the invoiced but unpaid amount of the HL Fees (the "HL Fee Amount") as of such date into an escrow account (the "HL Fee Escrow") pursuant to an escrow agreement by and among Purchaser, HL and the Escrow Agent, in form and substance reasonably satisfactory to the parties thereto (the "HL Escrow Agreement").

  • Legal Fees shall have the meaning set forth in Section 8(b) of the Subscription Agreement;

  • Additional Fees means those prices for the Additional Goods/Services and additional costs and levies required from time to time and notified to you in advance, to provide adequately for the education and related activities and services provided to your Child, including the costs of extra-curricular activities or special educational needs;

  • Annual Fees means the annual fees charged by the Trustee for services provided as the trustee and paying agent under the Indenture.

  • Expense Fees As to each Mortgage Loan, the sum of the Servicing Fee and the Trustee Fee.

  • Monthly Fees means, collectively, [INSERT FOR HFS: the Monthly Food and Beverage Fee,] the Monthly Program Fee and the Monthly Royalty Fee, each of which is set forth in the Addendum.   • Closing Fees means those fees required to be paid on the Closing Date pursuant to the Fee Letter.

  • Tax Fees means the aggregate fees billed in each of the last two fiscal years for professional services rendered by the Company’s external auditor for tax compliance, tax advice and tax planning.

  • Processing Fees means all routine, generally applicable City-wide fees required by the City for processing applications and permits including, but not limited to, fees for land use applications, building applications, building permits, and certificates of occupancy.

  • Advance Reimbursement Amounts As defined in Section 3.29 hereof.

  • Transaction Fees means fees paid or payable by the Service Recipients, which are on market terms, with respect to financial advisory services ordinarily carried out by investment banks in the context of mergers and acquisitions transactions.

  • Services Fees means the agreed upon fees in an Order for the Services Offerings.

  • Professional Fees means amounts billed or to be billed to a client for legal services provided or to be provided to the client by the lawyer or the lawyer’s firm;

  • Related Expenses means any and all costs, liabilities, and expenses (including, without limitation, losses, damages, penalties, claims, actions, reasonable attorney's fees, legal expenses, judgments, suits and disbursements) reasonably incurred by, or imposed upon, or asserted against, Lender in any attempt by Lender:

  • Class Counsel Fees means the fees of Class Counsel, and any applicable taxes or charges thereon, including any amounts payable as a result of the Settlement Agreement by Class Counsel or the Settlement Class Members to any other body or Person, including the Fonds d’aide aux actions collectives in Quebec.

  • Front End Fees means fees and expenses paid by any party for any services rendered to organize the Company and to acquire assets for the Company, including Organization and Offering Expenses, Acquisition Fees, Acquisition Expenses, and any other similar fees, however designated by the Board.

  • Maintenance Fees means the non-refundable fees payable annually by Licensee to OT for Support Services;

  • Fees and Charges means the fees and charges set out in Appendix 2, including such fees and charges as may be revised by the Service Provider from time to time by amendment to Appendix 2 in accordance with this Agreement;

  • Initial Fee means any fee charged to initiate a contract

  • Fees means all amounts payable pursuant to, or referred to in, Section 4.1.

  • Administrative Fees shall have the meaning assigned to such term in Section 2.06(b).
