Hive Across definition

Hive Across means the transfer from the Seller and/or its Related Undertakings (including Arval UK) to the Company of the property, rights and assets of the Seller and/or its Related Undertakings relating to the Card Business (as such term is defined in the Business Sale Agreement), such transfer being effected pursuant to the Business Sale Agreement; Hive Across Claim means a claim by the Buyer in respect of a breach of the warranty set out in paragraph 10.4 of Part A of Schedule 3; Hive Across Debt means £143,165,935 (being the principal and interest owed by the Company to Arval UK at the Completion Date in connection with the Hive Across); holding company means a parent undertaking (as defined by section 1162 CA 2006) or a holding company (as defined by section 1159 CA 2006) and in interpreting section 1159 CA 2006 for the purposes of this Agreement, a company is to be treated as the holding company of another company even if its shares in the other company are registered in the name of (i) a nominee; or (ii) any party holding security over those shares, or that secured party’s nominee;

Examples of Hive Across in a sentence

  • The assets and rights owned by or licensed to the Company immediately following completion of the Hive Across Agreement, together with assets held under any finance lease, hire purchase and rental or credit sale agreements referred to in the Disclosure Letter, comprise all assets and rights necessary for the continuation of the business of the Company as carried on at the date of this Agreement (but for the avoidance of doubt following completion of the Hive Across Agreement).

  • The business of the Company as it is carried on at the date of this Agreement (but following completion of the Hive Across Agreement) does not require the use of any assets owned or leased by the Seller (or any Associate of the Seller) or the provision of any services by the Seller (or Associate of the Seller) other than those services the subject of the Production Agreement.

  • On or around the actual Separation Date, Principal Separation will occur when NGL and ntl Chichester shall procure that NatTrans and the relevant members of the ntl Group shall execute the NGL Hive Across Agreements, the Designated Broadcast Business Transfer Agreement, the Employee Transfer Agreement and the Ancillary Agreements (including the Asset Sharing Agreement) to the extent not entered into prior to such date.

  • The operation of the Business (as defined in the Hive Across Agreement and for the avoidance of doubt excluding the Production Business as also defined in the Hive Across Agreement) does not require and is not reliant on the use by the Company of any of the Assets (as defined in the Hive Across Agreement).
