Hit Series definition

Hit Series means an Active Compound and its associated structural analogs, if any, that has been identified through high throughput screening in the Primary Indication for each Project during the HTS Phase, appropriately counter-screened, verified, and tested for activity in one or both Exploratory Indications, and that is designated by Astellas for further optimization toward a potential Development Compound during the Optimization Phase in accordance with Section 2.3(a) (Hit Series).

Examples of Hit Series in a sentence

  • Following the HTS Phase for each Project, PTI will present the results of the HTS Phase to the JRC and the JRC will assess the results of the HTS Phase in accordance with the guideline set forth in the Research Plan (Hit Series Criteria Guideline) and the potential development path for various screened Active Compounds.

  • For each Primary Hit, [***] will conduct further hit profiling and generate mechanistic insights to further prioritize such Primary Hits and Primary Hit Series by profiling hits [***] assays and comparing resulting phenotypes to [***].

  • For each Project the Parties shall agree through the JSC on up to [***] Primary Hits and Primary Hit Series for entering into Phase II (such selected Primary Hits or Primary Hit Series a “Qualified Hit” and structurally related “Qualified Hit Series”, respectively).

  • No Party shall be responsible for the obligations or actions of any other Party, each Party being severally responsible only for its obligations and actions arising hereunder.

  • Except as provided in Section 8, no adjustment shall be made with respect to any Unit for any distribution for which the record date is prior to the date on which the Employee becomes the holder of record of the Unit, regardless of whether the distribution is ordinary or extraordinary, in cash, securities or other property, or of any other rights.

  • In the event that Astellas opts to bypass a phase and advance an Active Compound to the subsequent phase in accordance with Section 2.3 (Compound Designation) (e.g. if Astellas elects to designate an Active Compound as a Development Compound without designating such Active Compound as part of a Hit Series), the Research Milestone Payment due to PTI for the bypassed phase (Research Milestone Event #4 in the foregoing example) will become due as if the phase had been completed.

  • AstraZeneca shall then nominate and specify in writing no more than three (3) series of Hits (the Hit Series), each Hit Series exemplifying no more than fifteen (15) structurally related compounds (the Hit Candidates).

  • AstraZeneca shall provide information on, using its scientific judgement, which compounds to nominate as Hit Series and Hit Candidates and to exclude from such nomination any compounds that are subject to any licenses or rights granted to or from any Third Party or that are subject to other research and development activities.

  • Subject to Section 2.3(e) (Discontinued Compounds), Astellas may, at any time during the Development Option Period for a Project, designate up to [***] Active Compounds from or derived from any Hit Series as Back-Up Compounds with respect to any one Development Compound, in its discretion, (such Development Compound, a “Primary Development Compound”).

  • Following the presentation of the results of the HTS Phase to the JRC, Astellas may designate one or more Hit Series to be taken forward into the Optimization Phase by providing written notice to PTI no later than July 31, 2016.

Related to Hit Series

  • Record series means a group of records that may be treated as a unit for purposes of designation, description, management, or disposition.

  • Series or “Series of Securities” means each series of debentures, notes or other debt instruments of the Company created pursuant to Sections 2.1 and 2.2 hereof.

  • CF Shadow Series means a series of Capital Stock that is identical in all respects to the shares of Capital Stock (whether Preferred Stock or another class issued by the Company) issued in the relevant Equity Financing (e.g., if the Company sells Series A Preferred Stock in an Equity Financing, the Shadow Series would be Series A-CF Preferred Stock), except that:

  • Additional Series or “Additional Series Equipment Notes” means Equipment Notes issued under the Indenture and designated as a Series (other than “Series A” or “Series B”) thereunder in the principal amounts and maturities and bearing interest as specified in Schedule I to the Indenture amended at the time of original issuance of such Additional Series under the heading for such Series.

  • Refinancing Series means all Refinancing Term Loans or Refinancing Term Commitments that are established pursuant to the same Refinancing Amendment (or any subsequent Refinancing Amendment to the extent such Refinancing Amendment expressly provides that the Refinancing Term Loans or Refinancing Term Commitments provided for therein are intended to be a part of any previously established Refinancing Series) and that provide for the same Effective Yield and amortization schedule.
