Historical Pro Forma Financial Statements definition

Historical Pro Forma Financial Statements means the historical pro forma projected balance sheet of the Borrower and its Subsidiaries as of the Closing Date, giving pro forma effect to the Acquisition Transaction and the transactions to be consummated in connection therewith, and reflecting estimated purchase price accounting adjustments, in form and substance acceptable to the Agent and prepared in conformity with GAAP.
Historical Pro Forma Financial Statements means the unaudited historical pro forma statements of income and certain cash flow items prepared on a combined basis of the Parent, and its Restricted Subsidiaries (giving pro forma effect to the Acquisition Transaction during the periods covered thereby) for the Fiscal Years ended 1998 and for the period ended June 30, 1999.
