Hilton Competitor definition

Hilton Competitor means any Person who (i) Operates a Lodging Business and/or (ii) competes with Licensor or its Subsidiaries in any other business other than exclusively in the Vacation Ownership Business at any time during the Term, and the Affiliates of any such Person.
Hilton Competitor means any branded full service, select service, luxury or extended stay hotel chain with both (i) 2,000 or more rooms, and (ii) 10 or more property locations. Hilton Competitor shall include, but shall not be limited to, Marriott, Starwood, Hyatt, Wyndham, Lowes, ▇▇▇ ▇▇▇▇▇ Intl., Plateno, Intercontinental Hotel Groups, Choice, Accor, Homeinns Hotel, ▇▇▇▇▇▇▇ Rezidor Hotel Group, ▇▇▇▇▇▇▇, Host Hotels, Harrahs Entertainment, Fairmont Hotels and Resorts and Extended Stay Hotels.
Hilton Competitor means (a) a Person engaged (or who has publicly announced its intent to engage), directly or indirectly through an Affiliate, in the business of operating, licensing (as licensor), franchising or managing of one or more of the hotel brands or lodging systems of hotels identified as “Luxury” or “Upper Upscale” chains on the STR Global Chain Scale list produced by ▇▇▇▇▇ Travel Research, Inc. and STR Global, Ltd. (or their respective successors and assigns) as such list may be updated from time to time (the “STR Global Chain List”), and (b) any Affiliates thereof. Notwithstanding the foregoing, any Person who owns any of the foregoing hotels (and such Persons’ Affiliates) who is not (and whose Affiliates are not) otherwise an operator, licensor, franchisor or manager of one or more of the hotel brands or lodging systems of hotels identified as “Luxury” or “Upper Upscale” chains on the STR Global Chain List, shall not constitute a Hilton Competitor.

Examples of Hilton Competitor in a sentence

  • Licensor shall not unreasonably withhold its approval for any Marketing Agreement that does not involve a Hilton Competitor.

  • Licensee may not participate in a loyalty program (or purchase and use loyalty program points) of a Hilton Competitor unless such loyalty program relates solely to Vacation Ownership Properties maintained as Separate Operations.

  • Should Licensee desire to enter into a new Marketing Agreement or other arrangement with a Hilton Competitor, or materially expand the scope of such an existing arrangement, Licensee must first obtain Licensor’s prior written consent.

  • Licensor hereby approves the Undeveloped Parcels as sites for future New Properties, which shall be subject to Section 5.2. (b) If Licensee wishes to sell an Undeveloped Parcel (or any part thereof or rights therein) to any Person other than a Hilton Competitor, Licensee will notify Licensor, and for thirty (30) days after such notice, the Parties shall negotiate in good faith towards a sale agreement.

  • Competitor means any company, other entity or association or individual that directly or indirectly is engaged in the Company’s Business.

  • Direct Competitor means any individual, partnership, corporation, limited liability company, association, or other group, however organized, who competes with the Company in the full service restaurant business.

  • Affiliated Entity means any entity controlling, controlled by, or under common control with an Insured.

  • Competing Business means the business of (a) developing, implementing, marketing and/or selling any Company Products or Competing Products or (b) developing, providing, performing, marketing or selling any Competing Services.

  • Affiliated Entities means any legal entity, including any corporation, limited liability company, partnership, not-for-profit corporation, estate planning vehicle or trust, which is directly or indirectly owned or controlled by the Stockholder or his or her descendants or spouse, of which such Stockholder or his or her descendants or spouse are beneficial owners, or which is under joint control or ownership with any other person or entity subject to a lock-up agreement regarding the Common Stock with terms substantially identical to this Agreement.
