Highlander and together with IWM, the “Sellers”), Forbes Global Holdings Inc., a BVI business company incorporated in the British Virgin Islands (“FGH”), and Forbes Global Media Holdings, Inc., a BVI business company incorporated in the British Virgin Islands (the “Company”). Highlander and together with IWM, each a “Holder”) is a holder of shares of Forbes Global Media Holdings, Inc., a BVI business company incorporated in the British Virgin Islands (“FGMH”). Magnum Opus Acquisition Limited, an exempted company incorporated in the Cayman Islands with limited liability (“Purchaser”), is acquiring directly or indirectly all of the outstanding shares of FGH and FGMH pursuant to that certain Business Combination Agreement, dated as of August 26, 2021 (as it may be amended from time to time in accordance with its terms, the “Business Combination Agreement”), by and among Purchaser, FGMH, FGH, IWM, in its capacity as a seller and as the shareholders’ representative and Highlander. Capitalized terms used in this letter (this “Investor Representation Letter”) and not otherwise defined herein shall have the same meanings ascribed to such terms in the Business Combination Agreement. Upon the Closing, Purchaser shall issue the Closing IWM Share Consideration and the Closing Highlander Share Consideration to IWM and Highlander, respectively, and IWM and Highlander shall acquire the Closing IWM Share Consideration and the Closing Highlander Share Consideration, respectively, from Purchaser, subject to and in accordance with the terms of the Business Combination Agreement, in a private placement effected in reliance on the exemption from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”), provided by Section 4(a)(2) of the Securities Act and/or Regulation D promulgated under the Securities Act, and exemptions from the qualification requirements of applicable state law. The Holder acknowledges and agrees that Purchaser is relying on the truth and accuracy of the representations and warranties made by the Holder in this Investor Representation Letter in order to rely on the exemptions described above.
