HHG Note definition

HHG Note means the Subordinated Unsecured Promissory Note dated as of the date hereof issued by Holdings to Ultimate Parent, as such HHG Note may be amended, restated and increased from time to time in accordance with this Agreement and the HHG Subordination Agreement.
HHG Note means the Subordinated Unsecured Promissory Note, dated as of the Amendment No. 5 Effective Date, in an original principal amount not to exceed $ 2,500,000 issued by Holdings to Hydrofarm Holdings Group, Inc., as such HHG Note may be amended, restated and increased from time to time in accordance with this Agreement and the HHG Subordination Agreement.
