HH Entities means HH and any of its permitted transferees under the Note Purchase Agreement, dated as of June 1, 2015 by and among the Company, Silver Lake and HH.
Seller Entities means, collectively, Seller and all Seller Subsidiaries.
Acquired Entities means the Company and the Company Subsidiaries.
Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.
PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants. PJM Interchange:
Acquired Companies means, collectively, the Company and the Company Subsidiaries.
Transferred Entities means the entities set forth on Schedule 1.5.
Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.
Parent Entities means, collectively, Parent and all Parent Subsidiaries.
Company Entities means the Company and the Company Subsidiaries.
Holding Entities means the subsidiaries of Brookfield Renewable Energy L.P., from time to time, through which it indirectly holds all of the Partnership’s interests in the Operating Entities.
Target Companies means the Company and its Subsidiaries.
Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.
Portfolio Companies means any Person in which any Fund owns or has made, directly or indirectly, an investment.
Seller Parties has the meaning set forth in the preamble to this Agreement.
Acquired Subsidiaries means Subsidiaries of the Failed Bank acquired pursuant to Section 3.1.
Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.
Company Subsidiaries means the Subsidiaries of the Company.
Parent Subsidiaries means the Subsidiaries of Parent.
Seller Affiliates has the meaning assigned to such term in Section 2.7.1;
SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”
Consolidated Entities means any Person (other than an Investment Entity) in which the Borrower owns any Capital Stock, the accounts of which Person are consolidated with those of the Borrower in accordance with GAAP.
Group Companies means the Company and its Subsidiaries.
Partnership Entities means the General Partner and each member of the Partnership Group.
Transferred Subsidiaries shall have the meaning set forth in the Recitals.
Seller Parent has the meaning set forth in the Preamble.
Released Entities means released entities as such term is defined
