Apollo and the HGM Group, acting together, (or the HGM Group, acting alone, with respect to an Underwritten Payoff Takedown or the applicable party proposing the Unmarketed Takedown, acting alone) shall have the right to select the investment banker(s) and manager(s) to administer the offering (which shall consist of one or more reputable nationally recognized investment banks), subject to the Company’s prior approval which shall not be unreasonably withheld, conditioned or delayed.
