HFB Inventory definition
HFB Inventory. As defined in Section 5.11 hereof. "Indemnified Party": As defined in Section 8.1(c) hereof. "Indemnifying Party": As defined in Section 8.1(c) hereof. "Indemnity Notice": As defined in Section 8.1(c) hereof. "Knowledge of the Selling Parties" and "Knowledge of the Shareholders" means, with respect to a Shareholder, to the best of that Shareholder's belief and knowledge and, with respect to Boehm and Lorie, to the best of its belief and knowledge (obtained th▇▇▇▇▇ the ▇▇▇▇▇ise of reasonable diligence, inquiry and investigation) of any of its directors or officers. "Legal Requirement": means any federal, state, local, municipal, foreign, international, multi-national, or other administrative order, constitution, law, ordinance, principle of common law, regulation, statute, or treaty as in effect on the date in question. "Liens": All mortgages, deeds of trust, claims, liens, security interests, pledges, leases, conditional sale contracts, rights of first refusal, options, charges, liabilities, obligations, agreements, easements, rights-of-way, powers of attorney, limitations, reservations, restrictions and other encumbrances of any kind. "Losses": Damages, losses (which shall include any diminution in value, liabilities, joint or several), payments, obligations, penalties, claims, litigation, demands, defenses, judgments, suits, proceedings, costs, disbursements or expenses (including without limitation, reasonable fees, disbursements and expenses of attorneys, accountants and other professional advisors and ASSET PURCHASE AGREEMENT - PAGE 29 of expert witnesses and costs of investigation and preparation) of any kind or nature whatsoever.
