Parties: Hallmark and Crown Registrable Securities: The shares of Common Stock (i) issued to the former holders of Hallmark Entertainment Investments Co. (“HEIC”) in connection with the Merger of HEIC with and into Crown and (ii) issuable to Hallmark upon the conversion of the HCC Debt and upon conversion of the Convertible Preferred Stock.
HEIC hereby acknowledges and agrees as follows: HEIC shall hereby become a signatory to the Stockholders Agreement and shall receive the same rights set forth therein and be bound by the same obligations set forth therein as HEH, except as provided in Section 3.4 and Section 3.5 of the Stockholders Agreement.

HEIC is duly qualified to do business as a foreign corporation and is in good standing in every jurisdiction in which the character of the properties owned or leased by it or the nature of the business conducted by it makes such qualification necessary, except where the failure to be so qualified or in good standing would not, individually or in the aggregate, materially impair HEIC's ability to consummate the Transactions.
The Software may support certain third-party software, including without limitation, certain software algorithm implementations provided by third parties, such as Microsoft’s PhotoDNA software and Google’s CSAI Match software and/or certain proprietary formats, such as High Efficiency Image File Format (HEIF) files or High Efficiency Image Container (HEIC) files, (collectively, “Third-Party Technologies”).
