Headquarters Purchase means the purchase by TMC Realty of the property and building, located at 8800 ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇, ▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇▇▇▇▇▇▇▇, ▇▇at will serve as the business headquarters of Borrower for a purchase price that is not greater than $11,200,000.
