HDK definition

HDK means a Cisco proprietary hardware development kit for Cisco’s ADP.

  • TI may provide to Wintegra as needed the Hardware Development Kit (HDK), Software Development Kit (SDK) or any other material that TI offers to customers for a fee, as a service, or as part of supporting the production of the customer product based on the MP DSLAM Cooperative Reference Design that are otherwise part of the TI Reference Material.

  • Sections 2 (indemnification relating to HDK), 8 10, and 12, and all accrued rights to payment (if any) shall survive termination of this Agreement.

  • In the event that you purchase a HDK from or through the Developer Portal, you agree that all use and purchase of such HDK(s) will be subject to the terms and conditions of this Agreement.

  • LICENSEE shall comply with all governmental and quasi-governmental laws, rules and regulations pertaining to use in connection with the Technology, the Pod Competition Hover Engine, and the HDK.

  • Without limiting the foregoing, Silver Spring, at its sole discretion, may provide a one-time replacement of a defective HDK or hardware if written notice is received by Silver Spring within 30 calendar days of the date of the purchase of HDK or hardware, provided any such replacement will be subject to the same terms and conditions of this Agreement.

  • LICENSOR and LICENSEE believe it is in their mutual interest and desire to enter into an agreement whereby LICENSEE would use the Technology and LICENSOR’S Pod Competition Hover Engine and/or HDK in design, development, and use of the Product pursuant to the terms and conditions hereinafter provided.

  • LICENSEE agrees that no part of the Technology, the Pod Competition Hover Engine, or the HDK available through LICENSOR in whole or part, is being acquired for shipment, transfer, or re-export, directly or indirectly, to proscribed, embargoed, or prohibited countries or their nationals, denied destinations, or for prohibited activities or for weapons.

  • At all relevant times, HDK was organized under the laws of California as a Corporation, “doing business as” HDK, and conducted business in the State of California.
