If the TxDOT Tolling Services Agreement is in effect, TxDOT shall continue to undertake to collect tolls payable for HCTRA Transactions and to pursue Violations, as applicable, as provided in the TxDOT Tolling Services Agreement.
If the TxDOT Tolling Services Agreement is no longer in effect, Developer shall continue to use, or cause its tolling services contractor to use, its best efforts to collect tolls payable for HCTRA Transactions and to pursue Violations, as applicable.
At the request of HCTRA, the Engineer shall provide appropriate personnel for conferences at its offices, or attend conferences at the various offices of HCTRA, or at the site of the Project, and shall permit inspections of its offices by HCTRA, or others when requested by HCTRA.
Responsibility to HCTRA for sublet work shall remain with the Engineer.
HCTRA shall review such invoices and approve them within ten (10) calendar days with such modifications as are consistent with this Agreement and forward same to the County Auditor.
The Engineer is responsible for notifying HCTRA thirty days prior to the end of the contract.
It is understood that HCTRA will approve assignment and release of all key engineering personnel and that the Engineer shall submit written notification of all key engineering personnel changes monthly for HCTRA's approval prior to the implementation of such changes.
The Engineer will permit the County, or any duly authorized agent of HCTRA, to inspect and examine the pertinent books and records of the Engineer, but only for the purpose of verifying the direct salary costs, overtime work, and out-of- pocket expenses for additional services charged to the Project described in and contemplated by Paragraph 3.
The Engineer shall not sublet, assign, or transfer all or any part of the services in this Agreement without the prior written approval of HCTRA.
All services rendered by the Engineer under this Agreement shall be performed under the supervision of HCTRA.
