Hanger or the "Company") of the objective, tasks, work product and fees for the engagement of JA&A to provide financial and operational consulting services to the Company. -------------------------------------------------------------------------------- OBJECTIVE -------------------------------------------------------------------------------- Assist the Company in improving its financial position by identifying operational and financial improvement opportunities, and to assist management in the implementation of actions to capture the benefits of these opportunities. -------------------------------------------------------------------------------- TASKS -------------------------------------------------------------------------------- The focus of this engagement will be on pursuing the opportunities for operational and financial improvement identified in Phase I, while establishing the basic controls and processes to support improved financial management. • Exhibitor’s use of children under the age of 16 as models or for any other business purpose must be approved in advance by Hanger, Inc.

• In the event that the Executive is employed for less than the full calendar year in the year in which his Termination Date occurs (“Termination Year”), the bonus payable to the Executive shall be subject to Sections 6 and 7 of this Agreement and calculated based on the Executive meeting certain performance criteria and Hanger achieving certain year-end financial criteria, all as determined by the Compensation Committee of the Board of Directors, in its sole discretion.

• In the event an Exhibitor must cancel its request for Exhibit Space, the rental fee paid will be refunded in full (less a 10% processing fee) if the notice of cancellation is received by Hanger, Inc.

• Any notice to be given hereunder shall be in writing and delivered personally or sent by certified mail, postage prepaid, return receipt requested, addressed to the party concerned at the address indicated below or at such other address as such party may subsequently be designated by like notice: If to the Company: Hanger, Inc.

• The Landlord agrees to provide notice to the Tenant of any future construction activities or other changes to the Airport area immediately adjacent to the 2020-2021 New Hanger Site.
