Provided Executive remains in the employ of the Company, GXS or one of their Subsidiaries as of the applicable vesting date, each such tranche shall become vested and exercisable as to 25% of the shares constituting such tranche on the first anniversary of the Vesting Commencement Date with respect to such tranche, and the balance of the shares constituting such tranche shall become vested and exercisable at a rate of 1/36 of such balance per month over the 3-year period following such anniversary.
