GUARANTEE RATIO means, as of any date of determination, (a) the aggregate amount of Indebtedness incurred by the Borrower pursuant to Section 6.01(i) and that remains outstanding as of such date, to (b) Consolidated EBITDA for the Reference Period applicable to such date.
