GTOP or “Operating Procedures”) and the Pennsylvania Public Utility Commission (“Commission”) Regulations, as applicable, are fully incorporated in this Agreement except as otherwise expressly stated herein.

• Capital Commitment Investments shall be valued annually as of the end of each year (and at such other times as deemed appropriate by the Managing Member) in accordance with the principles utilized by the Company (or any Affiliate of the Company that is a general partner of GTOP) in valuing investments of GTOP or, in the case of investments not held by GTOP, in the good faith judgment of the Managing Member, subject in each case to the second proviso of the immediately succeeding sentence.

• Principal shall remain liable to Transporter for all of its obligations as Principal under the contracts listed on Exhibit A, (“DELEGATED AGREEMENTS”) including but not limited to all payments to Transporter of all fees and charges for any services rendered under Transporter’s Tariff and/or GTOP.

• Principal and Agent agree that they are required to comply with all provisions of the agreements listed on Exhibit A and all provisions of Transporter’s Tariff and GTOP.

• Principal shall remain liable to Transporter for all of its obligations as Principal under the contracts listed on Exhibit A, including but not limited to all payments to Transporter of all fees and charges for any services rendered under Transporter’s Tariff and/or GTOP.

• Provided, however, that the Parties may bring disputed matters before the New York State Department of Public Service according to the Dispute Resolution Process set forth in Company’s GTOP.

• Principal and Agent agree that they are required to comply with all provisions of the contracts listed on Exhibit A and all provisions of Transporter’s Tariff and GTOP.
