GTARC definition

GTARC is a wholly controlled non-profit subsidiary of the Georgia Tech Research Corporation ("GTRC"). GTARC and GTRC are tax-exempt under Section 501(c)(3) of the Internal Revenue Code of 1986, as amended ("Code") and are supporting organizations of the GIT under Section 509(a)(3) of the Code. GTARC was formed for the purpose of entering into sponsored research agreements for Georgia Tech Research Institute (GTRI). GTRC owns and administers intellectual property developed at GIT/GTRI. GTARC may enter into contractual agreements regarding intellectual property owned by GTRC that are in accordance with GIT policy.

  • Notwithstanding the foregoing, it is expressly understood by Agency that this Agreement may be assigned to the Georgia Institute of Technology, any of its affiliated organizations, or the Board of Regents of the University System of Georgia by GTARC without Agency consent.

  • GTARC, on behalf of the NIEF Center at GIT, and Agency shall be and act as independent contractors, and under no circumstances shall this Agreement be construed as one of agency, partnership, joint venture, or employment between the parties.

  • GTARC and Agency shall each be solely responsible for the conduct of their respective employees, agents and contractors in connection with the performance of their obligations hereunder.

  • GTARC, on behalf of the NIEF Center at GIT, and TRP shall be and act as independent contractors, and under no circumstances shall this Agreement be construed as one of agency, partnership, joint venture, or employment between the parties.

  • In addition, if any other entity uses or relies upon a Trustmark or set of Trustmarks issued pursuant to this agreement by the NIEF Center due to a recommendation or requirement arising out of a business relationship between that entity and TRP, that entity shall have entered into a separate Agreement with GTARC in accordance with the provisions in Section 1 (“Term of Agreement”) of this document.

  • TRP agrees to and does hereby indemnify, hold harmless, and save from liability GTARC, Staff Members, the NIEF Center, the Georgia Institute of Technology, and the Board of Regents of the University System of Georgia, including their officers and employees, from and against any and all claims, demands, and actions arising out of or relating to TRP’s use of any and all Trustmarks issued by the NIEF Center.

  • Neither GTARC, on behalf of the NIEF Center at GIT, nor Agency shall have any right to assign this Agreement without the prior written consent of the other party.

  • GTARC and TRP shall each be solely responsible for the conduct of their respective employees, agents and contractors in connection with the performance of their obligations hereunder.

  • Any modification of this Agreement proposed by GTARC on behalf of the NIEF Center at GIT or by Agency shall not be considered final unless both parties have agreed to it in writing, with the following exception.

  • On behalf of the NIEF Center, GTARC may make editorial changes to the NIEF Trustmark Policy (included in this Agreement by reference – see clause #9) when such changes are necessary to accommodate changes in titles, addresses, or other minor details that do not materially impact the spirit or intent of this Agreement.
