Canadian Buyer shall pay to CIT Canada any GST, QST, GST/QST Penalty and Interest Amounts, and any additional income Taxes imposed upon CIT Canada as a result of reimbursement under this Section 8.2(e)(ii), within 10 business days of receipt of notice from CIT Canada that the applicable amount has been assessed.
If such elections are available in accordance with Applicable Laws (as determined by Vendors), then the Parties shall cooperate with each other and make all elections available to reduce or eliminate goods and services tax (“GST”) and Québec sales taxes (“QST”) under the GST-QST Legislation, if any.
