The total purchase price shall be due and payable upon Green Aircraft Acceptance in Greenville, SC.
Buyer agrees to perform and complete such Green Aircraft Inspection during the five (5) day period following the Green Aircraft Inspection Availability Date.

Buyer shall confirm completion of the Green Aircraft Inspection by executing a receipt in the form of Schedule “B” attached hereto (the time of execution of such receipt being the “Green Aircraft Acceptance Time”).
Any sale, assignment, transfer, pledge, hypothecation, loan or other disposition other than in accordance with this Section 4.1 shall be null and void.
Within fifteen (15) days of receipt of GULFSTREAM's notice, BUYER, at its sole discretion, shall elect either to inspect the Green Aircraft per the procedures set forth below or accept the Aircraft for purposes of identifying it as the Aircraft to be Outfitted under this Agreement without inspection at this time by executing a Memorandum of Preliminary Acceptance, reserving all BUYER's rights to further inspections.
For avoidance of doubt, nothing in Article 5.1(a), Article 5.1(b), Article 5.2(a), or Article 5.2(b) shall in any way limit Buyer’s Final Inspection rights or preclude Buyer from giving Seller notice of a discrepancy or defect during the Final Inspection even if such discrepancy or defect existed at the time of the Green Aircraft Inspection or the Pre-Paint Inspection.
GULFSTREAM shall tender the Green Aircraft to BUYER for Preliminary Acceptance at GULFSTREAM's plant in Savannah, Georgia on or about the Scheduled Preliminary Acceptance Date.
