Grantee Group definition

Grantee Group means Grantee, its affiliates and subsidiaries and each of their employees, directors, officers, agents, representatives, contractors, subcontractors, suppliers and service providers (including any self-employed persons) at any tier, that performs any portion of the Work and/or Activities on the Lands.
Grantee Group as used herein, shall mean (1) Grantee (including, without limitation, any participant in the Loan and any of their respective successors or assigns, whether by sale, a secondary market transaction, or otherwise), (2) any entity controlling, controlled by or under common control with Grantee, (3) the directors, officers, employees and agents of Grantee and such other entities, and (4) the successors, heirs and assigns of the entities and persons described in foregoing clauses (1) through (3). Grantor shall pay immediately upon Xxxxxxx’s demand any amounts owing under this indemnity together with interest from the date the indebtedness arises until paid at the rate of interest applicable to the principal balance of the Note as specified therein. Xxxxxxx agrees to use legal counsel reasonably acceptable to the Grantee Group in any action or proceeding arising under this indemnity. THE PROVISIONS OF THIS SECTION SHALL SURVIVE THE SATISFACTION AND RELEASE OF THIS SECURITY DEED, BUT XXXXXXX’S LIABILITY UNDER THIS INDEMNITY SHALL BE SUBJECT TO THE PROVISIONS OF THE SECTION IN THE NOTE ENTITLED “BORROWER’S LIABILITY.” GRANTOR HEREBY AGREES THAT, IN THE EVENT THAT IT IS DETERMINED THAT ADDITIONAL DOCUMENTARY STAMP TAX OR INTANGIBLE TAX IS DUE HEREON OR ANY MORTGAGE OR DEED TO SECURE DEBT OR PROMISSORY NOTE EXECUTED IN CONNECTION HEREWITH (INCLUDING, WITHOUT LIMITATION, THE NOTE), GRANTOR SHALL INDEMNIFY AND HOLD HARMLESS GRANTEE FOR ALL SUCH DOCUMENTARY STAMP TAX AND/OR INTANGIBLE TAX, INCLUDING ALL PENALTIES AND INTEREST ASSESSED OR CHARGED IN CONNECTION XXXXXXXXX. GRANTOR SHALL PAY SAME WITHIN TEN (10) DAYS AFTER DEMAND OF PAYMENT FROM GRANTEE AND THE PAYMENT OF SUCH SUMS SHALL BE SECURED BY THIS SECURITY DEED AND SUCH SUMS, IF NOT PAID WITHIN SUCH TEN (10) DAY PERIOD, SHALL BEAR INTEREST AT THE DEFAULT RATE (AS DEFINED IN THE NOTE) UNTIL PAID IN FULL.
Grantee Group means Grantee and Grantee’s joint venturers and Affiliates, and their respective partners, members, directors, officers, employees, agents, representatives, contractors and subcontractors, lessees, invitees, successors and assigns.

  • Minority Group means any of the following racial or ethnic groups:

  • Sponsor Group means the Sponsors and the Sponsor Related Parties.

  • Lower Tier Participant refers any participant who has entered into a covered transaction with a First Tier Participant or other Lower Tier Participants (such as subcontractors and suppliers).

  • Former Member means a member that has withdrawn from a qualified authority under this section or a prior member of a qualified authority that has been dissolved under this section.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Current Participant means a Class Member who has an Active Account in one or both the Plans as of August 5, 2020.

  • Non-Highly Compensated Participant means any Participant who is neither a Highly Compensated Employee nor a Family Member.

  • Related Group For Loan Group 1, Group 1 and for Loan Group 2, Group 2.

  • Former Employee means all individuals (including common law employees, independent contractors and individual consultants) who were employed or engaged by the Company in connection with the Business but who are no longer so employed or engaged on the date hereof.

  • Contributing Employer means any employer other than a reimbursing employer or rated governmental employer.

  • Promoter Group means an immediate relative of the Promoter (i.e. spouse of that person, or any parent, brother, sister or child of the person or of the spouse); persons whose shareholding is aggregated for the purpose of disclosing in the offer document “shareholding of the promoter group”.

  • Consolidated Group means the Borrower and all Subsidiaries which are consolidated with it for financial reporting purposes under GAAP.
