In addition, with respect to the Soho-Tribeca Grand Hotel Portfolio Subordinate Companion Loan, in no event shall Servicing Fees with respect to such Companion Loan (including an REO Companion Loan) be payable out of payments and other collections with respect to the related Pari Passu Companion Loan(s), the related Mortgage Loan or the Mortgage Pool.
Any Appraisal Reduction Amounts with respect to the Soho-Tribeca Grand Hotel Portfolio Whole Loan shall be allocated first to the related Subordinate Companion Loan, up to its principal balance, and then to the related Mortgage Loan and the related Pari Passu Companion Loan(s) on a pro rata and pari passu basis in accordance with the respective outstanding principal balances of such related Mortgage Loan and the Pari Passu Companion Loan(s).
Such funds (or, alternatively, any letter of credit and draws thereon) shall be treated as an “outside reserve fund” under the REMIC Provisions, which, together with any reimbursement from the Lower-Tier REMIC, is beneficially owned by the holder of the Soho-Tribeca Grand Hotel Subordinate Companion Loan for federal income tax purposes, which holder of the Soho-Tribeca Grand Hotel Portfolio Subordinate Companion Loan shall remain liable for any taxes payable on income or gain with respect thereto.
The Special Servicer shall also obtain the consent of the Controlling Class Representative, the Soho-Tribeca Grand Hotel Portfolio Directing Holder or the Westfield Wheaton Directing Holder, as applicable and under the circumstances contemplated by the prior sentence, with respect to any modification, waiver, amendment or other action that constitutes a Major Decision pursuant to Section 6.09(a) of this Agreement with regard to any Specially Serviced Loan.
The Special Servicer shall not be obligated at any time to follow or take any alternative actions recommended by a Companion Loan Holder (or its representative) with respect to the Soho-Tribeca Grand Hotel Portfolio Whole Loan (unless such Companion Loan Holder is the Soho-Tribeca Grand Hotel Portfolio Directing Holder).
For so long as the holder of the Soho-Tribeca Grand Hotel Portfolio Subordinate Companion Loan is the Soho-Tribeca Grand Hotel Portfolio Directing Holder, the appointment of any successor special servicer with respect to the Soho-Tribeca Grand Hotel Portfolio Whole Loan shall be subject to the consent of the holder of the Soho-Tribeca Grand Hotel Portfolio Subordinate Companion Loan.

There are no persons with registration or other similar rights to have any equity or debt securities registered for sale under the Registration Statement (except for registration rights as set forth in the Registration Rights Agreement dated as of March 17, 2011, between the Company and Manchester Grand Hotel, L.P., which rights do not entitle the holders thereof to be included in the Prospectus Supplement), or included in any offering contemplated by this Agreement.
