GPRI means the Gas Price in respect of mmBtu of Gas i multiplied by one mmBtu.

  • This Agreement may be altered or amended only by an instrument in writing duly executed by both NewCo and GPRI.

  • No waiver by either GPRI or NewCo may occur with respect to any breach or default of or with respect to any provision of this Agreement, and no course of dealing shall be deemed to constitute a waiver of any other breach or default of or with respect to the same or any other provision or condition of this Agreement, unless such waiver is expressed in writing signed by the party(ies) to be bound.

  • Upon expiration or termination of this Agreement, all amounts due from GPRI to NewCo pursuant to this Agreement shall become immediately due and payable.

  • In the event that the basis for the Index is altered, NewCo and GPRI will price the Tall Oil to most accurately reflect the intent of the parties as of the Effective Date.
