GP Representative definition

GP Representative means any natural person who has been chosen in writing, with notice thereof to the Company, by the GP Entities holding beneficial ownership of Voting Securities representing in the aggregate a majority of the Total Voting Power held by the GP Entities.

Examples of GP Representative in a sentence

  • The General Partners within a Family Group may remove the GP Representative for that Family Group at any time and for any reason or no reason by the vote of the General Partners owning a majority of the General Partnership Interests held by such General Partners, and designate a new GP Representative by the same voting requirement.

  • A GP Representative may invite an observer to each meeting of the General Partners.
