GP Materials definition

GP Materials means all materials and information of, or made available to Company by or on behalf of, GP, each portion thereof, all right, title and interest in and to each of the foregoing, and any other Intellectual Property of GP.

GP Materials means all materials and information of, or made available to Vendor by or on behalf of, GP, each portion thereof, all right, title and interest in and to each of the foregoing, and any other Intellectual Property of GP. “GP Qualified Lab” (also known as Accredited Laboratory) means a facility of a laboratory that has received written validation by GP that such facility has satisfied all of the requirements and conditions for laboratory accreditation for purposes of performing tests of certain types of Products submitted for GP Product Qualification under GP’s then current laboratory accreditation and reaccreditation processes, so long as such validation has not expired, terminated, or been revoked, withdrawn or invalidated. “GP Qualified Product” (also known as Certified Product) means a Product that has received written validation from GP Certification Body that such Product has satisfactorily demonstrated compliance with the relevant and then current Configuration for the applicable category of Product, so long as such validation has not expired, terminated, or been revoked, withdrawn or invalidated.

  • Company acknowledges and agrees that all GP Materials are and shall, at all times, be and remain the exclusive property of GP, and nothing in this Agreement shall be construed to convey or license to Company or any third party any right, title or interest in the any of the GP Materials.

  • Company acknowledges and agrees that the GP Materials and all other information and materials (other than Assessment Reports) provided to Company by or on behalf of GP in connection with this Agreement are and shall at all times be and remain the exclusive property of GP, and that, except as otherwise expressly provided in this Section, nothing in this Agreement shall be construed to convey or license to Company or any third party any right, title or interest in or to any of the GP Materials.

  • GP acknowledges and agrees that, as between Licensee and GP, Test Products developed exclusively by Licensee shall be Licensee’s exclusive property; provided that Licensee’s ownership and use of such Test Products shall be subject in all respects to GP’s exclusive ownership of the underlying GP Materials and the terms and conditions of this Agreement.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Supplier Materials has the meaning given in clause 8.1(h).

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.
