If any change in any current non-federal Applicable Law or the existence of a new non-federal Applicable Law (any such change or new non-federal Applicable Law is referred to herein as a "Government Imposition") shall result in an increase in the cost to Seller of the mining, processing or transporting of coal hereunder, then Keystone shall reimburse Seller for 50% of Seller's increased costs resulting from such Government Imposition.
If the Government Imposition will continue for the life of this Agreement, then the Base Price for subsequent Contract Years, if any, shall also be adjusted by the per ton amount of the Governmental Imposition.
It is also the parties' intent that, with respect to Government Impositions that are levied on or measured by the purchase price of coal, Buyer shall reimburse Seller for the actual amount of Government Imposition attributable to coal sold to Buyer under this Agreement without regard to revenues received by Seller from sales to other customers of coal mined from the Coal Reserves.
In the case of a Change In Costs which is a decrease, an adjustment to the Price shall be made from the date such Change In Government Imposition was in effect.
If the Government Imposition will continue for the life of this Agreement, then the Base Price, to be included in an extension of the term of this Agreement, if any, shall also be adjusted by the per ton amount of the Governmental Imposition.
With respect to a New Government Imposition effective after December 31, 2013, any such adjustment shall be effective from the date Seller is required to accrue the additional cost under GAAP.
If the Change In Government Imposition results in a Change In Costs not expressly imposed on a per Ton basis, Seller shall submit a claim which describes the Change In Costs and which contains sufficient documentation and data to permit Buyer to verify Seller's computation of the Change In Costs.
With respect to a New Government Imposition effective prior to January 1, 2014, payment for these additional costs shall be made on an accrual basis so that payment is made at the ▇▇▇▇ ▇▇▇▇▇▇ incurs the obligation even though Seller may not fulfill the obligation until some time later.
Seller shall have the right to limit or a▇▇▇▇ the cumulative effect of adjustments resulting in Changes In Costs which would be required to meet Government Imposition in order to preempt Buyer's right to terminate this Agreement.
The term "Government Imposition," as used in this Agreement, whether in the singular or the plural, means taxes, fees, or obligations imposed on Seller by any government or governmental agency, and resulting costs or savings, pursuant to a law or regulation that directly effects the production, mining or loading of coal from the Mine.
