The Goodwill Policy for Caterpillar Truck Models shall be a differentiating factor compared to the Goodwill Policy for Navistar Truck Models, and the Company sales prices pertaining to Caterpillar Truck Models and Navistar Truck Models shall reflect this differentiating factor.
To the extent the costs for Goodwill Policy are reflected in the Annual Business Plan, the Company shall abide by the Goodwill Policy of Caterpillar for Caterpillar Truck Models and the Goodwill Policy of Navistar for Navistar Truck Models, which Goodwill Policies shall compensate customers for certain non-warranty servicing of JV Trucks.
The Company shall bear the costs and expenses associated with the Goodwill Policies; provided, however, that each Member shall be responsible for all expenses arising from the Goodwill Policy of such Member’s JV Truck models incurred by the Company in excess of the relevant, accrued, budgeted amount set forth in the Annual Business Plan.
Caterpillar and Navistar, when acting on behalf of the Company pursuant to the Master Terms for Purchased Services, shall cause their respective sales and service personnel for JV Trucks to abide by the applicable Goodwill Policy.
