Good Leaving definition
Good Leaving means the voluntary termination of employment with the Company by the Optionee after the Company has consummated an initial public offering of its common stock but only if (a) the Optionee has been in the continuous employment of the Company for a period of five years on the date the Optionee’s voluntary termination becomes effective; and (b) the Optionee has provided the Company with no less than six months’ written notice of the Optionee’s intention to voluntarily terminate employment. For the avoidance of doubt, service with the Company in any capacity other than as an employee of the Company will not be counted toward the requisite five year period of continuous employment nor will employment with any entity prior to the Company’s acquisition of such entity be counted toward the requisite five year period of continuous employment.
