GoldenTree means GoldenTree Asset Management LP. “GoldenTree Entity” has the meaning set forth in the Preamble. “GoldenTree Parties” means GoldenTree, the GoldenTree Entity and their Affiliates, in each case so long as any such GoldenTree Party (i) is managed, sponsored, controlled or advised by an investment fund affiliated with GoldenTree and (ii) owns Company Securities. “Governing Documents” means the Certificate of Incorporation and the Bylaws. “Initial Requesting Holder” means, with respect to any registration of Registrable Securities that is requested pursuant to Section 3.1(a), the Stockholder or Stockholders (as the case may be) who made the underlying Registration Demand. “Losses” has the meaning set forth in Section 3.7. “▇▇▇▇▇▇▇” means ▇▇▇▇▇▇▇ Capital Management, L.P.. “▇▇▇▇▇▇▇ Parties” means ▇▇▇▇▇▇▇, the ▇▇▇▇▇▇▇ Entity and their Affiliates, in each case so long as any such ▇▇▇▇▇▇▇ Party (i) is managed, sponsored, controlled or advised by an investment fund affiliated with ▇▇▇▇▇▇▇ and (ii) owns Company Securities. “Necessary Action” means, with respect to a specified result, all actions (to the extent such actions are permitted by law and by the Governing Documents) necessary to cause such result, including (i) voting or providing a written consent or proxy with respect to the Company Securities, (ii) causing the adoption of shareholders’ resolutions and amendments to the Governing Documents, (iii) executing agreements and instruments, and (iv) making, or causing to be made, with governmental, administrative or regulatory authorities, all filings, registrations or similar actions that are required to achieve such result. “Nominating Stockholder Group” has the meaning set forth in Section 2.1(b). “Original Agreement” has the meaning set forth in the Recitals. “▇▇▇▇▇▇▇” means ▇▇▇▇▇▇▇ & Co.
