  • Notwithstanding the foregoing, to the extent not otherwise required to be delivered hereunder, Borrower shall promptly provide to Administrative Agent a copy of all material notices required to be delivered by the Borrower or any of its affiliates under the Priority Credit Agreement, the ICI Agreement, the GOF Restructuring Agreement or the MIOA.

  • GOF shall not have given the Borrower written notice that GOF, in its sole discretion, has determined that the results of its environmental diligence review were not reasonably satisfactory.

  • Subject to Article VIII, on the Maturity Date, the Borrower shall be liable to pay to GOF and its assigns in US Dollars an amount equal to the sum of each Borrowing, together with all accrued and unpaid interest and any other amounts then owing to GOF and its assigns in respect thereof (including for costs and expenses).

  • Each Obligor shall have provided GOF with such additional information and shall have executed and delivered such additional documents as may be reasonably requested by GOF.

  • Neither the execution and delivery of this Agreement, nor the performance by GOF of its obligations hereunder, will conflict in any material respect with or result in a material breach of, or constitute a material default under, any applicable laws or any indenture, mortgage, deed of trust or other material instrument or agreement to which GOF is a party or is bound.
