In the event that the Seller is required, under the terms of any GMC Contract or Healthy Families Contract, to make any payment prior to the Closing Date that applies, in whole or in part, to a period following the Closing Date, the Parties shall prorate such expense as of the Closing Date and Buyer shall reimburse the Seller at the same time that it delivers the Purchase Price for the portion of such expense relating to the period on or after the Closing Date.
