Global Junior Notes definition

Global Junior Notes and "Definitive Registered Junior Notes" shall have the meanings given to such terms in the Senior Note Indenture and the Junior Note Indenture respectively.

Global Junior Notes means each global security in bearer form, representing all or a part of the Junior Notes, without coupons for payments attached, authenticated and delivered to the Holder of such Junior Notes or such portion of such Junior Notes in accordance with Section 2.05 (Execution, Authentication, Delivery and Dating).

Examples of Global Junior Notes in a sentence

  • The Issuer Order shall specify the amount of Junior Notes to be authenticated, the date on which the Junior Notes are to be authenticated, whether the Junior Notes are to be Definitive Registered Junior Notes or Global Junior Notes and whether or not the Junior Notes shall bear any legend, or such other information as the Paying Agent may reasonably request.

  • The Global Junior Notes shall be substantially in the form of Exhibit A (Form of Global Junior Note) (as modified by any appropriate deletions or additions), which is hereby incorporated in and expressly made a part of this Indenture.

  • Any Global Junior Notes shall be exchangeable for Definitive Registered Junior Notes only as provided in this paragraph.

  • The Global Junior Notes shall be issuable only in bearer form without coupons.

  • No service charge shall be made for any transfer or exchange of any of the Global Junior Notes, but the Issuer may require payment of a sum sufficient to cover any tax or other governmental charge payable in connection therewith.

  • The Global Junior Notes and the Definitive Registered Junior Notes may have such letters, numbers or other marks of identification and such legends or endorsements placed thereon as may be required to comply with any applicable law or rule or regulation made pursuant thereto or with the rules of any securities exchange or as may, consistently herewith, be determined by the Officers executing such Junior Notes, all as evidenced by any such execution.

  • In the case of Global Junior Notes redeemed only in part, the Paying Agent shall make an appropriate notation on Schedule A thereto to reflect the portion of the principal amount of such Global Junior Note redeemed and the unredeemed portion of the principal of the Global Junior Note so surrendered.

  • Holders of Global Junior Notes may not enforce the Indenture or such Global Junior Notes except as provided in the Indenture.

  • Akintan, editor of the newspaper Eleti-Ọfẹ, and the other I.B. Thomas’s Ìtàn Èmi Sẹ̀gilọlá, were serialised in the newspapers in 1928 and 1929 respectively.

  • There is no fact, other than information known to the public generally, known to or reasonably foreseen by Borrower after diligent inquiry, that would be expected to have a Material Adverse Effect that has not expressly been disclosed to Lender in writing.

Related to Global Junior Notes

  • Junior Notes means Note B-1, Note B-2, Note B-3 and Note B-4.

  • Global Securities means a Security or Securities, as the case may be, in the form established pursuant to Section 2.2 evidencing all or part of a Series of Securities, issued to the Depositary for such Series or its nominee, and registered in the name of such Depositary or nominee.

  • U.S. Global Note means a Global Note that bears the Restricted Legend representing Notes issued and sold pursuant to Rule 144A.

  • Restricted Global Notes means 144A Global Notes, IAI Global Notes and Regulation S Global Notes.

  • Global Debenture shall have the meaning set forth in Section 2.4(a).

  • Global Intercompany Note means the global intercompany note substantially in the form of Exhibit G hereto.

  • Definitive Capital Securities means any Capital Securities in definitive form issued by the Trust.

  • IAI Global Note means a Global Note substantially in the form of Exhibit A hereto bearing the Global Note Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee that will be issued in a denomination equal to the outstanding principal amount of the Notes sold to Institutional Accredited Investors.

  • Registered Global Note means a Global Note, if issued by TCCI, being in the form or substantially in the form set out in Schedule 1 to the TCCI Note Agency Agreement (or in such other form as may be agreed between TCCI, the TCCI Registrar, the TCCI Transfer Agent and the relevant Purchaser(s)), or if issued by TMCC, being in the form or substantially in the form set out in Schedule 1 to the TMCC Note Agency Agreement (or such other form as may be agreed between TMCC, the TMCC Registrar, the TMCC Transfer Agent and the relevant Purchaser(s));

  • Senior Notes means $500,000,000 in aggregate principal amount of the Borrower’s 6.75% senior unsecured notes due 2025 issued pursuant to the Senior Notes Indenture on the Closing Date.

  • Regulation S Global Securities means one or more permanent global Securities in registered form representing the aggregate principal amount of Securities sold in reliance on Regulation S under the Securities Act.

  • Offshore Global Note means a Global Note representing Notes issued and sold pursuant to Regulation S.

  • Global Notes means, individually and collectively, each of the Restricted Global Notes and the Unrestricted Global Notes deposited with or on behalf of and registered in the name of the Depository or its nominee, substantially in the form of Exhibit A hereto and that bears the Global Note Legend and that has the “Schedule of Exchanges of Interests in the Global Note” attached thereto, issued in accordance with Section 2.01, 2.06(b)(3), 2.06(b)(4), 2.06(d)(2) or 2.06(f) hereof.

  • or "Notes means the Revolving Notes, the Swingline Note and/or the Term Notes, collectively, separately or individually, as appropriate.

  • Global Notes Legend means the legend set forth under that caption in the applicable Exhibit to this Indenture.

  • Unrestricted Global Notes means Global Notes that are not required to bear, or are not subject to, the Restricted Notes Legend.

  • Rule 144A Global Notes has the meaning set forth in Section 2.16.

  • Registered Notes has the meaning specified in Section 2.1.

  • 144A Global Security means a permanent Global Security in the form of the Security attached hereto as Exhibit A-1, and that is deposited with and registered in the name of the Depositary, representing Securities sold in reliance on Rule 144A under the Securities Act.

  • Restricted Global Security As defined in Section 3.01(c).

  • Registered Global Security means a Security evidencing all or a part of a series of Registered Securities, issued to the Depositary for such series in accordance with Section 2.02, and bearing the legend prescribed in Section 2.02.

  • 2023 Notes means the 6 7/8% Notes due 2023 issued by NTL pursuant to the 1988 Indenture.

  • Global Note shall have the meaning specified in Section 2.05(b).

  • Regulation S Global Notes has the meaning set forth in Section 2.16.

  • Offshore Physical Notes has the meaning provided in Section 2.01.

  • Global Bond means the Original Global Bond and/or as the context may require any other global bond or global bonds representing Further Bonds or any of them;
