  • Class D Notes sold in offshore transactions in reliance on Regulation S under the Securities Act will initially be represented by one or more Global Class D Notes.

  • In the case of Regulation S Global Class D Notes, it is not, and for so long as it holds any Class D Notes, will not be a Benefit Plan Investor (as defined below) or a Controlling Person (as defined below).

  • Any purchaser or transferee of Global Class D Notes shall be deemed to have represented that it is not, and so long as it holds such Global Class D Note, will not be, a Benefit Plan Investor or Controlling Person.

Definitive Class C Notes shall have such insertions and deletions as are necessary to give effect to the provisions of Section 2.18 of the Base Indenture.

  • Initial Class A-4 Note Balance means $75,000,000.

  • Class C Note Balance means, at any time, the Initial Class C Note Balance reduced by all payments of principal made prior to such time on the Class C Notes.

  • Class D Noteholder means the Person in whose name a Class D Note is registered on the Note Register.

  • Class A-4 Notes means the 0.62% Asset Backed Notes, Class A-4, substantially in the form of Exhibit A-4 to the Indenture.

  • Regulation S Global Certificate With respect to any Class of Book-Entry Non-Registered Certificates offered and sold to institutions that are non-United States Securities Persons in Offshore Transactions in reliance on Regulation S, a single global Certificate, or multiple global Certificates collectively, in definitive, fully registered form without interest coupon, each of which Certificates bears a Regulation S Legend.

  • A Notes means each Note that has a designation starting with “A”, either individually or in the aggregate as the context may require.

  • Class E Notes has the meaning assigned to such term in the Indenture.

  • Class C Noteholders means the holders of any Class C Notes from time to time.

  • Series D Notes is defined in Section 1.

  • Regulation S Global Securities means one or more permanent global Securities in registered form representing the aggregate principal amount of Securities sold in reliance on Regulation S under the Securities Act.
