GLEP definition

GLEP means Great Lakes Energy Partners, L.L.C., a Delaware limited liability company and its successors and permitted assigns.
GLEP has the meaning given that term in the recitals hereto.

  • No litigation, arbitration, or similar proceeding shall be pending which calls into question the validity or enforceability of this Agreement, the other Loan Documents, or the agreements pertinent to the GLEP Transaction.

  • In addition to the mortgaging of the Oil and Gas Properties, Borrower shall pledge to the Agent for the benefit of the Lenders, (i) 100% of the stock of each of Borrower's wholly-owned Subsidiaries, (ii) all of its membership interest in GLEP and (iii) shall cause each Guarantor to provide the Lenders with the Guaranty.

  • GLEP is a limited liability company duly and property organized, validly existing and in good standing under the laws of Delaware and is duly qualified in all jurisdictions wherein failure to qualify may result in a Material Adverse Effect.
