The following Terms and Conditions apply to the Units granted to Employee by Broadpoint Gleacher Securities Group, Inc.
In the event the shares are issued in connection with an acquisition or other transaction not involving a financing, the Company will permit the Liberty Holders, the HMTF Holders and the Gleacher Holders to purchase the appropriate number of shares in a separate transaction, with the purchase price per share equal to the valuation per share of the Common Stock established by the Board of Directors of the Company in the transaction giving rise to the purchase right.
The Company has heretofore furnished to Parent a complete and correct copy of all agreements between the Company and ▇▇▇▇▇▇▇ ▇▇▇▇▇ & Co. and Gleacher Partners LLC pursuant to which such firms would be entitled to any payment relating to the transactions contemplated by this Agreement.
Each of ▇▇▇▇▇▇▇ ▇▇▇▇▇ & Co. and Gleacher Partners LLC has delivered to the Board of Directors of the Company an oral opinion to the effect that, as of the date hereof, on the basis of and subject to the assumptions set forth therein, the consideration to be received by the holders of Company Common Stock (other than Parent, Merger Sub and their respective Affiliates) pursuant to each of the Offer and the Merger is fair to such holders of Company Common Stock from a financial point of view.
The Board has received the opinion of Gleacher & Company Securities, Inc., to the effect that (subject to assumptions, qualifications, limitations and other matters set forth therein), as of the date of such opinion, the Merger Consideration to be received by the holders of the Company Common Stock is fair to such holders from a financial point of view, which opinion has not been withdrawn or modified.
No broker, investment banker, financial advisor or other person, other ▇▇▇▇ ▇▇▇▇▇▇▇ ▇▇▇▇▇ & Co. and Gleacher Partners LLC, the fees and expenses of which will be paid by the Company, is entitled to any broker’s, finder’s, financial advisor’s or other similar fee or commission in connection with the transactions contemplated by this Agreement based upon arrangements made by or on behalf of the Company.
A special, independent committee of the Company's Board of Directors (the "Special Committee") has received the written opinion of Gleacher & Co. LLC (the "Company Financial Advisor") on or prior to the date hereof, to the effect that, as of the date of such opinion, the Merger Consideration is fair to the stockholders of the Company from a financial point of view, and the Company will deliver a copy of such written opinion to Parent promptly after the date hereof.
The Company's board of directors has received the written opinion of Gleacher & Co., financial advisor to the Company ("COMPANY FINANCIAL ADVISOR"), dated the date of this Agreement, to the effect that the Exchange Ratio is fair to the stockholders of the Company from a financial point of view.
