GIPA means the Government Information (Public Access) Xxx 0000. “Goods” mean all Goods, products or materials covered by the Purchase Order. “GST” means Goods and Services Tax.
GIPA means the Government Information (Public Access) Act 2009 (NSW).
Asset Management Agreement means, as the context requires, any agreement entered into between a Series and an Asset Manager pursuant to which such Asset Manager is appointed as manager of the relevant Series Assets, as amended from time to time.
Existing Management Agreement means that certain management agreement between the Seller and the Existing Manager for the operation and management of the Hotel.
Consortium Agreement means this consortium agreement as well as the pre-amble and all annexes hereto;
Hotel Management Agreement means any hotel management agreement relating to the management and operation of the Real Property together with all supplements, amendments and modifications thereto.
Put Agreement means an agreement dated as of August 13, 2008, as amended, among the Company, OT LLC and Rio Tinto Alcan.
New Management Agreement means the management agreement to be entered into between Buyer and the Manager for the operation and management of the Hotel on and after the Closing Date.
Shareholder Agreement has the meaning set forth in the Recitals.
Investment Management Agreement means the Investment Management Agreement, dated as of the date hereof, by and between the Investment Manager and the Borrower.
Settlement Agreement means this agreement, including the recitals and schedules.
Enterprise Agreement means an agreement certified under the Workplace Relations Act 1996 (Cth) or approved under the Industrial Relations Act 1996 (NSW).
Original Partnership Agreement has the meaning set forth in the recitals to this Agreement.
Shareholder Agreements has the meaning set forth in the recitals to this Agreement.
Public-private partnership agreement means an agreement
SLDC means the State Load Dispatch Center as notified by the State Government.
Exchange Agreement has the meaning set forth in the Recitals.
GS shall have the meaning assigned to such term in the preamble to this Agreement.
Unit Purchase Agreement means the Common Unit and Class B Unit Purchase Agreement, dated as of December 1, 2006, among the Partnership and the purchasers named therein.
Brookfield means Brookfield Asset Management Inc.;
Investment Management Agreement or IMA means the Investment Management Agreement (IMA) dated December 9, 2002, executed between UTI Trustee Company Private Limited and UTI Asset Management Company Limited.
Company Acquisition Agreement has the meaning set forth in Section 5.04(a).
Membership Agreement means the agreement between the Foundation and each Member regarding each such Member’s rights and obligations as a Member.
Consortium Members means the members of the Consortium, formed by the Bidder for purposes of the Transaction in accordance with this RFP and shall include members who have submitted the Format for Consortium Agreement (Annexure 5) specified in the RFP.
DCM means a contract market or designated contract market as defined in CFTC Regulation 1.3(h).
Contribution Agreement means that certain Contribution and Conveyance Agreement, dated as of the Closing Date, among the General Partner, the Partnership, the Operating Partnership and certain other parties, together with the additional conveyance documents and instruments contemplated or referenced thereunder, as such may be amended, supplemented or restated from time to time.
Secondment Agreement means the secondment agreement between one or more members of the Vishay Group, as the seconding party, on the one hand, and one or more members of the VPG Group on the other hand, listed on Exhibit I, in the substantially in the forms attached to such Exhibit. From and after the Distribution Date, the Secondment Agreement shall refer to the secondment agreement substantially in the form attached to Exhibit I, as amended and/or modified from time to time in accordance with its terms.
