GGS definition

GGS means Global Geophysical Services, Inc. and its Affiliates engaged in the supply of seismic data acquisition services throughout the world.
GGS means Defendant’s Gerber® Good Start® line of infant formula products.
GGS has the meaning provided in the preamble to this Agreement. “Governmental Authority” means the government of any nation or any political subdivision thereof, whether at the national, state, territorial, provincial, municipal, or any other level, and any agency, authority, instrumentality, regulatory body, court, central bank, or other entity exercising executive, legislative, judicial, taxing, regulatory, or administrative powers or functions of, or pertaining to, government. “Guarantor(s)” means, individually or collectively, as the context requires, Air T and each other Person who executes a Guaranty in favor of the Lender. “Guaranty” means a document, in the form provided by ▇▇▇▇▇▇, pursuant to which the Person who executes such document agrees to guaranty the payment and performance of the Obligations. “Guaranty Obligation” as to any Person, means any (a) obligation, contingent or otherwise, of such Person guaranteeing or having the effect of guaranteeing any Debt or other obligation payable or performable by another Person (the “primary obligor”) in any manner, whether directly or indirectly, and including any obligation of such Person, direct or indirect, (i) to purchase or pay (or advance or supply funds for the purchase or payment of) such Debt or other obligation, (ii) to purchase or lease property, securities, or services for the purpose of assuring the obligee in respect of such Debt or other obligation of the payment or performance of such Debt or other obligation, (iii) to maintain working capital, equity capital, net worth, or solvency or liquidity, or any level of income or cash flow of the primary obligor so as to enable the primary obligor to pay such Debt or other obligation,

  • To the extent any GGS stock is granted to Executive as part of the Annual Bonus, Executive acknowledges and agrees that all stock grants shall be done in accordance with the Company’s then-applicable stock grant plan.

  • Each GGS Company has the right, power and authority and has taken all necessary corporate and other action to authorize the execution, delivery and performance of this Agreement and each of the other Loan Documents and each other agreement or instrument contemplated thereby to which it is a party in accordance with their respective terms and, in the case of the Borrower, to borrow hereunder.

  • No GGS Company is an “investment company” or a company “controlled” by an “investment company” (as each such term is defined or used in the Investment Company Act of 1940, as amended) and no GGS Company is, or after giving effect to any extension of credit hereunder will be, subject to regulation under the Interstate Commerce Act, each as amended, or any other Applicable Law which limits its ability to incur debt or consummate the transactions contemplated hereby.

  • As of the Closing Date, there are no outstanding stock purchase warrants, subscriptions, options, securities, instruments or other rights of any type or nature whatsoever, which are convertible into, exchangeable for or otherwise provide for or permit the issuance of capital stock of the GGS Companies, except as described on Schedule 3.02.

  • The charges, accruals and reserves on the books of each GGS Company in respect of federal, state, local and other taxes for all fiscal years and portions thereof since the organization of such GGS Company are, in the judgment, of such GGS Company adequate, and no GGS Company anticipates any material additional taxes or assessments for any of such years.
