GESA Employee definition
GESA Employee means each employee of a SpinCo Group member who is engaged to provide services to a non-SpinCo Group member entity pursuant to the terms of a Global Employee Services Agreement (“GESA”) or secondment agreement and who will transfer to the non-SpinCo Group member pursuant to the terms of a GESA or secondment agreement or will otherwise remain subject to a GESA or secondment agreement during their term of employment with a SpinCo Group member.
GESA Employee has the meaning set forth in Section 10.4(a).
Examples of GESA Employee in a sentence
For purposes of this Section 3.8(c), “Deferred Business Employees” means any Business Employee of a Deferred Business that has not transferred to a member of the Company Group as of the Closing and remains with such Deferred Business and is not a GESA Employee.
Notwithstanding the foregoing, GESA Employees shall continue to participate in the applicable Baker Hughes Benefit Plans following the Closing until the earlier of: (i) the date on which the GESA Employee becomes a Continuing Service Provider; or (ii) the expiration date of the applicable GESA Employee Term.
