German Agent definition

German Agent means such successor agent effective upon such appointment and approval, and the former German Agent’s rights, powers and duties as German Agent shall be terminated, without any other or further act or deed on the part of such former German Agent or any of the parties to this Agreement or any holders of the Loans or issuers of German Letters of Credit. If no successor agent has accepted appointment as German Agent by the date that is 10 days following a retiring German Agent’s notice of resignation, the retiring German Agent’s resignation shall nevertheless thereupon become effective, and the German Lenders shall assume and perform all of the duties of the German Agent hereunder until such time, if any, as the such Lenders appoint a successor agent as provided for above. Any Syndication Agent and any Documentation Agent may, at any time, by notice to the Lenders and the Administrative Agent, resign as Syndication Agent or Documentation Agent, as applicable, hereunder, whereupon the duties, rights, obligations and responsibilities of such Syndication Agent or Documentation Agent, as applicable, hereunder shall automatically be assumed by, and inure to the benefit of, the Administrative Agent, without any further act by the Arranger, any Agent or any Lender. After any retiring Agent’s resignation as Agent, the provisions of this Section 9 shall inure to its benefit as to any actions taken or omitted to be taken by it while it was Agent under this Agreement and the other Loan Documents.

  • If any draft shall be presented for payment under any German Letter of Credit, the relevant German Issuing Lender shall promptly notify the Administrative Agent and the German Agent of the date and the amount thereof.

  • Each German Issuing Lender shall promptly give notice to the Administrative Agent and the German Agent of the issuance of each German Letter of Credit issued by such German Issuing Lender (including the amount thereof).

  • On the Effective Date, the resignation of the Existing Administrative Agent and the replacement of the Existing German Agent under the Credit Agreement and the Loan Documents shall become effective and the Borrower, each Foreign Borrower and each Lender hereby confirm such resignation and replacement and hereby waive any notice with respect thereto required under the Loan Document.

  • The German Agent may resign as German Agent upon 10 days notice to the Lenders, the Borrower and the German Borrower.

  • Each German Issuing Lender shall promptly give notice to the Administrative Agent and the German Agent of the issuance (or amendment, modification or renewal) of each German Letter of Credit issued by such German Issuing Lender (including the amount thereof).

  • In addition, the Borrower confirms that if the amount of any interest, fee (including Letter of Credit and commitment fees), principal or other amount paid by it is actually less than the amount due and payable under the Loan Documents, it will promptly, and in any event within 5 days after demand thereof, pay such amount of the relevant shortfall to the Successor Administrative Agent or Successor German Agent, as applicable, for the benefit of the applicable Lenders or Issuing Lenders.
