  • If the Generating Facility Owner and Transmission Administrator are unable to agree on the person to be appointed as arbitrator within ten (10) days of the reference, either the Generating Facility Owner or the Transmission Administrator may apply to the Court of Queen’s Bench of Alberta to appoint the arbitrator.

  • For greater clarity, in the event the COD occurs before the RCOD, the Generating Facility Owner shall not be entitled to the Annual Minimum Payment during the period running from COD to the RCOD.

  • Any dispute arising out of the interpretation or application of this Agreement shall be referred to senior officers of the Generating Facility Owner and Transmission Administrator upon either the Generating Facility Owner or Transmission Administrator requesting such reference in writing.

  • The Transmission Administrator shall be entitled to set off from any amounts on account of the Payment and Annual Minimum Payment, as the case may be, to be credited to the Generating Facility Owner hereunder, any and all amounts owing by the Generating Facility Owner to the Transmission Administrator whether under this Agreement or otherwise.

  • In the event the Generating Facility Owner becomes subject to the payment of the Eligibility Payment, the Generating Facility Owner may elect, at any time thereafter, to terminate this Agreement by notice in writing to the Transmission Administrator and the delivery of such notice shall be deemed to constitute an Event of Default by the Generating Facility Owner and Section 13.4 shall apply.
