General Know-How definition

General Know-How means any ideas, concepts, know-how, data, methods, techniques, processes, skills, tools, libraries, and adaptations pertaining to the Software which XOX acquires ownership of after the Effective Date and before the Anniversary Date, including generalized features of the sequence, structure, and organization of the Software, whether or not deemed proprietary or secret which are in existence after the Effective Date and before the Anniversary Date.
General Know-How means, to the extent owned and Controlled by the applicable Pfizer Licensor as of such Pfizer Licensor’s LE Date, any Know-How (excluding Compound Know-How and Scheduled Other Know-How) of a general nature, such as general knowledge, ideas, concepts, know-how, or techniques that, as of such LE Date, (a) is in the possession of the applicable Company Licensee and (b) is used or held for use by such Company Licensee in the Company Business as such business is conducted as of such LE Date. For clarity, General Know-How includes Know-How retained in the unaided memories of the Company Licensees’ employees.
General Know-How means all ideas, inventions, procedures, processes, methods of operation, concepts, principles, discoveries, and other intangible information of a general nature that become a part of the expertise of skilled computer professionals in the course of performing computer software development work.

General Know-How means technical or functional data and information, unpatented inventions, technical specifications or data (including requirement, functional or design specifications), designs, drawings, processes, techniques, methods, computer programming techniques, programmer notes and instructions, algorithms, Software, Software Source Code, Firmware, Firmware Source Code, test plans and test results, including all corrections, modifications, changes, whether tangible, intangible, oral, written or otherwise, regardless of media. "General Know-How" does not include "Joint Results".
General Know-How shall have the meaning contained in Section 4.1.
General Know-How means any Information (other than Product-specific Information) that is generally applicable to the research, development, and marketing activities of Xxxxxx Xxxxxxx and is part of Xxxxxx Xxxxxxx’x day-by-day operations.

For the avoidance of doubt, Licensed Know-How excludes any Know-How related to ritonavir that has been (either as of the Effective Date or at any time during the term of this Agreement) in-licensed by Pfizer from any Third Party.

  • Licensor Know-How means any and all Know-How that (a) is Controlled by Licensor or any of its Affiliates as of the Effective Date or at any time thereafter during the Term and (b) pertains to the Manufacture, use or sale of Licensed Products, including Research Inventions (other than Research Patents).

  • Know-How means all existing and available technical information, know-how and data, including inventions (whether patentable or not), discoveries, trade secrets, specifications, instructions, processes and formulae, including all biological, chemical, pharmacological, biochemical, toxicological, pharmaceutical, physical, safety, quality control, preclinical and clinical data;

  • Collaboration Know-How means all Know-How conceived, discovered, developed or otherwise made by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing (solely or jointly by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing) in the course of [***].

  • Property Information has the meaning specified in Section 4.03.

  • Controlled technical information means technical information with military or space application that is subject to controls on the access, use, reproduction, modification, performance, display, release, disclosure, or dissemination. Controlled technical information would meet the criteria, if disseminated, for distribution statements B through F using the criteria set forth in DoD Instruction 5230.24, Distribution Statements on Technical Documents. The term does not include information that is lawfully publicly available without restrictions.

  • Manufacturing Know-How means, with respect to the Product or any Variant thereof, the technology, data, designs, processes, methods, specifications and other know-how used in connection with the formulation, manufacture, labeling, packaging, quality control, release testing, and production of the Product, and all ingredients used therein and portions thereof.

  • Third Party Information means confidential or proprietary information subject to a duty on the Company’s and its affiliates’ part to maintain the confidentiality of such information and to use it only for certain limited purposes.

  • Access Information means information that alone or together with other information, can provide access to any portion of Your Account, including but not limited to, Your Account number, login names, passwords, credit card or other financial information, security questions and their respective answers, and any other similar information. For the avoidance of doubt, Your Access Information will include any similar information for each of Your Users.

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • Business Information means all information in whatever form held, including (without limitation) all: (i) formulas, designs, specifications, drawings, know-how, manuals and instructions; (ii) customer lists, sales, marketing and promotional information; (iii) business plans and forecasts; (iv) technical or other expertise; and (v) all accounting and Tax records, correspondence, orders and inquiries;

  • Information Technology (IT) System means the combination of hardware components, software, and other equipment to make a system whose core purpose is to accomplish a data processing need such as the automatic acquisition, storage, analysis, evaluation, manipulation, management, movement, control, display, switching, interchange, transmission or reception of data. IT systems include ground systems in support of flight hardware. IT systems do not include—

  • Biological Materials means certain tangible biological materials that are necessary for the effective exercise of the Patent Rights, which materials are described on Exhibit A, as well as tangible materials that are routinely produced through use of the original materials, including, for example, any progeny derived from a cell line, monoclonal antibodies produced by hybridoma cells, DNA or RNA replicated from isolated DNA or RNA, recombinant proteins produced through use of isolated DNA or RNA, and substances routinely purified from a source material included in the original materials (such as recombinant proteins isolated from a cell extract or supernatant by non-proprietary affinity purification methods). These Biological Materials shall be listed on Exhibit A, which will be periodically amended to include any additional Biological Materials that Medical School may furnish to Company.

  • Suitability information means information that is reasonably appropriate to determine the suitability of a recommendation, including the following:

  • Proprietary Materials means tangible chemical, biological or physical materials (a) that are furnished by or on behalf of one Party to the other Party in connection with this Agreement, whether or not specifically designated as proprietary by the transferring Party or (b) that are otherwise conceived or reduced to practice in the conduct of the Research Collaboration.

  • Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.

  • Supplier Materials has the meaning set out in clause 8.1(g);

  • Medical information means any information about a consumer's medical or mental health treatment or diagnosis by a health care professional.
