General Conveyances definition

General Conveyances means the documents as required in accordance with subsection 3.5.
General Conveyances has the meaning given in Section 2.3(a).
General Conveyances means one or more general conveyances evidencing the conveyance to the Purchaser of the Company’s interest in and to the Purchased Assets, in form and substance satisfactory to the Parties, acting reasonably.

Examples of General Conveyances in a sentence

  • Vendor shall execute and deliver to Purchaser and Purchaser shall prepare, execute and deliver to Vendor on the Closing Date, a General Conveyances of the Purchased Assets in the form acceptable to the Purchaser's solicitors, in registrable form to the extent applicable, respecting the Purchased Assets, as may be reasonably required by the Purchaser, to complete the transfer of the Purchased Assets.

  • Upon execution and delivery by Seller of the General Conveyances, TMOC will receive good and marketable title to the Tergas Option free and clear of all Liens and other Adverse Claims.

  • Upon Seller's and Buyer's execution and delivery of this Agreement, the Assumption Agreement, and the General Conveyances, Buyer will own good and marketable title to all of the Assets, free and clear of all mortgages, liens, pledges, charges, claims, leases, restrictions or encumbrances of any nature whatsoever.
