Geelbek Restaurant and with related tourism activities ” - the tourism facility located within the Protected Area as more fully described in Schedule 1, including the land, buildings and other facilities together with all supporting infrastructure, plant and equipment, and any new facilities constructed or developed by the Private Party upon the designated site during the Project Term; 2.1.86 “Shareholders” - the holders of the Equity from time to time; 2.1.87 “Signature Date” - the date of signature of this PPP Agreement by the last signing Party; 2.1.88 “Skills Development Spend” - has the meaning as set out in Schedule 5; 2.1.89 “South Africa” - the Republic of South Africa; 2.1.90 “State” - the Government of South Africa, acting directly or through its lawfully designated representatives; 2.1.91 “Subcontractors” - any subcontractor of the Private Party who has contracted directly with the Private Party in respect of any of the Project Deliverables; 2.1.92 “Suretyship” the deed of suretyship which shall be executed by each of the Shareholders in favour of SANParks as more specifically set out in Schedule 23; 2.1.93 “Termination Amount” - the amount payable by a Party on termination of this PPP Agreement in terms of this PPP Agreement; 2.1.94 “Termination Date” - any date of termination of this PPP Agreement, in accordance with its terms; 2.1.95 “Treasury Regulations” - the Treasury Regulations issued under the PFMA that apply to SANParks and/or this PPP Agreement; 2.1.96 “Transferrable Licenses Intellectual Property” - any Licensed Intellectual Property that the Private Party is entitled to transfer to SANParks; 2.1.97 “ Utilities” - facilities such as water, electricity, sewage, gas and telecommunications and, where appropriate, includes relevant provider thereof; 2.1.98 “Utility Charges” - charges or fees in respect of consumption of the Utilities used at the Geelbek Restaurant and with related tourism activities as provided by SANParks, the Relevant Authority or any other supplier; 2.1.99 “Variable PPP Fee” - that portion of the PPP Fee that is a percentage of the Gross Revenue of the Private Party, which percentage is detailed in Clause 19 and Schedule 6; 2.1.100 “VAT” - value added tax, as defined in the VAT Act or any similar tax which is imposed in place of or in addition to such tax; and 2.1.101 “VAT Act” - Value Added Tax Act, No. 89 of 1991, as amended form time to time.

  • To this end, the climatic, hydrological, hydrogeological, ecological, Environmental, geotechnical, geological, paleontological and archaeological conditions of the Geelbek Restaurant and with related tourism activities ("Project Site Conditions") shall be the sole responsibility of the Private Party.

  • SCHEDULE 1 - DESCRIPTION OF GEELBEK RESTAURANT AND MULTI PURPOSE CENTRE WITH RELATED TOURISM ACTIVITIES FACILITY The Geelbek Restaurant and with related tourism activities Facility will include all the facilities and infrastructure within the following designated area.

  • The Parties acknowledge that the aforementioned manuals’ objective is to assist in the daily operations of the Geelbek Restaurant and with related tourism activities and allow for good cooperation between the Parties and may be changed from time to time by mutual agreement in order to satisfy their mutual objectives.
