  • The Contractor shall remain fully liable for any claims Gearbulk may have or acquire against the Contractor’s Subcontractors pertaining to the Goods and/or Services and the Contractor shall indemnify and hold harmless Gearbulk for any claims the Contractor’s Subcontractors may have or acquire for which Gearbulk would not be liable to Contractor under this Agreement.

  • The Contractor shall not set off except with the written consent of Gearbulk.

  • Prior to instructing or authorising any variation, Gearbulk may reasonably require the Contractor to submit such detailed estimates relating to the proposed variation in Goods and/or Services.
